The firm is particularly proud of its energy practice because it has worked on and very familiar with all aspects of oil and gas transactions from inception through to commissioning and start-up. Our attorneys have provided legal counsel and have been directly involved in drafting, negotiating and concluding: heads of agreement, joint ventures, development and fiscal agreements, production sharing agreements, product sale & purchase agreements, land lease & port use agreements, technical services agreements, fuel stock supply agreements, EPC contracts, and technology licensing agreements.
The Firm has extensive experience in negotiating and finalising financing transactions and have represented banks, financing institutions, developers, lenders and other participants in a number of transactions. The attorneys' experience include negotiating and finalising finance and security package documents for such projects including oil & gas development, petrochemical, construction and real estate, including: facility credit agreements, security agreements, collateral agreements, shareholder commitments and guarantees, subordination agreements, sovereign consents and guarantees, restructuring agreements, and escrow agreements. MOP regularly advises banks and financial institutions on regulatory and transactional matters.
Our lawyers handle all aspects of contractual work, from drafting to negotiation, supporting our clients’ day-to-day operations and tackling specific projects. We regularly draft and advise on standard terms for clients as well as tailored agreements for more complex transactions and advise on the key aspects of such contracts, including warranties, indemnities, limitations of liability and liquidated damages.
